CONSTITUTION AND BY- LAWS OF G.S.B.A, INC.
ARTICLE I NAME
Sec. 1 This organization shall be a non-profit educational and recreational organization known as G.S.B.A., INC
ARTICLE II PURPOS
Sec. 1 The purpose of the Association shall be to improve the standard and promote interest in the breeding and exhibiting of cage birds of all species, to help protect the wild fauna, to encourage and preserve all of the intended species, to create good fellowship among it’s members, to encourage all bird associations in North America to affiliate with G.S.B.A., Inc., and to hold an annual cage bird exhibition.
ARTICLE III OFFICERS
Sec. 1 The officers of this Association shall be: (a) six Executive Board of Directors (b) one appointed Executive Board of Director to serve as chairman (C) President (d) Vice President (e) Treasurer (f) Secretary. Hereafter, these officers will be referred to as Executive Board members.
Sec. 2 Each officer shall hold office for a term of four years, commencing with the regular January meeting of the year in which they are elected, or until successors have been duly elected.
Sec. 3 Duties of the officers shall be:
- The Executive Board shall be responsible for the management of the affairs of the Association consistent with its purpose. A quorum shall consist of not less than four (4) members of the Board. Any of the local members of the Board missing two (2) consecutive meetings without notifying the Chairman and without just cause or reason, shall be replaced by an appointment from the President.
- The President shall preside over all monthly educational meetings, appoint all committees, except as otherwise provided in ARTICLE IV, and perform such other duties as are normally prescribed for such office. The duly elected Executive Board of Directors shall transact all business. The regular monthly meeting should be dedicated entirely to various educational programs.
- The Vice President shall, in the absence or disability of the President, have the power to perform all duties of the President.
- The Treasurer shall receive and have custody of all funds and shall maintain current records of account, subject to audit by the Executive Board of Directors, disburse funds, issue membership cards and have custody of the master membership list. The Treasurer will sign checks.
- The Executive Secretary shall notify members of meetings, and carry on all correspondence as directed by the President and /or Chairman of the Executive Board.
- The Executive Board of Directors of the Association shall appoint the Chairman of the Executive Board.
Sec. 4 Eligibility, nomination, election and removal of officers:
- Nomination of officers shall be by a nomination committee consisting of three (3) members appointed by the President or Chairman of the Board. The nominating committee will nominate one candidate for each office. Election of all officers shall take place at the regular November meeting and will be installed in January, the beginning of their term. Any member may nominate another member in writing to the Board of Directors.
- Vacancies occurring in any elective office, if the unexpired term is less than six months, may be filled by the President. If the unexpired term exceeds six months, the vacancy shall be filled by a special election called by the President at a regular Board of Directors meeting.
ARTICLE IV COMMITTEES
Sec. 1 Exhibition Committees:
- Organizational Exhibition Committee. The Executive Board shall elect an Exhibition Manager. The Exhibition Manager shall appoint a Secretary and Exhibition Treasurer and other Exhibition officials and committees as deemed necessary. This Committee shall be responsible for all matters pertaining to any exhibition held or sponsored by this Association with the exception of financial losses, which shall be consumed by this Association.
- Working Exhibition Committee: This Committee shall consist of all members of G.S.B.A. Inc., who wish to work and take part in the affairs.
- G.S.B.A., Inc., when financially capable, shall have at least one exhibition per year, to be known as G.S.B.A. annual bird show, where all bird fanciers regardless of race, creed or color are encouraged to participate, providing they are members of G.S.B.A., Inc., and members of any affiliated club.
- Non-members or affiliated members will pay an additional fee.
Sec. 2 Committee of Amendments to the Constitution and By-Laws. The Committee on Amendments to the Constitution and By-Laws shall consist of the Executive Board of Directors. This Committee shall review all proposed amendments to the Constitution and By-Laws.
Sec. 3 Grievance Committee. The President shall appoint a grievance committee, if necessary, consisting of three (3) members. Any officer or member may be removed if it is determined, after a report of the grievance Committee has been on the calendar of this Association for a period of four (4) weeks by a two-thirds majority of the votes cast by the members present at a regular assembled meeting, that the retention of such an officer or member would be detrimental to the best interest of this Association. Any member having anything detrimental to say against a member of this Association shall bring it to the Grievance Committee, in writing, and not at an open meeting.
Sec. 4 Program Committee. The Program Committee shall consist of not less than three (3) members appointed by the President. This committee shall make arrangements for programs at regular and/or other meetings of this Association.
Sec. 5 Other Committees. The President may, from time to time, appoint such other committees and assign functions thereto as he may determine necessary to further the purpose of this organization.
ARTICLE V MEMBERSHIP & DUES
Sec. 1 Any individual interested in breeding, exhibiting cage birds of all species, to help protect the wild fauna, to encourage and preserve all of the intended species, and/or furthering our purpose shall be eligible for filing an application for membership regardless of sex, creed, color or national origin.
Sec. 2 Application for membership shall be mailed to the Executive Secretary and reviewed by the Executive Board of Directors.
Sec. 3 Dues shall be determined on a year-to-year basis. Dues are payable the first of every January. Those delinquent after January will lose all the Association’s privileges. All dues must be paid by January of every year.
Sec. 4 A dropped or resigned member will be treated as a new applicant.
Sec. 5 Any member who expresses dissatisfaction with the Association and expresses that they do not want to participate in the club forfeits their membership fee.
Sec. 6 The club hold the right to revoke membership to any member who does not adhere to club rules and regulations, promotes disorder and is considered to not be in good standing. Such members will receive a full refund and a letter explaining why their membership was revoked.
ARTICLE VI AFFILIATED BIRD CLUBS AND AFFILIATED CAGE BIRD ASSOCIATIONS
Sec. 1 Any club of cage-bird associations may affiliate with G.S.B.A., Inc.
Sec. 2 Affiliation’s fee of affiliated bird clubs and affiliated cage-bird associations shall be determined by the Executive Board of Directors on a year-to-year basis.
Sec. 3 Affiliated bird clubs and affiliated cage-bird associations are entitled to receive awards, which are determined and decided on a year-to-year basis by the Executive Board of Directors of G.S.B.A., Inc.
ARTICLE VII APPRENTICE JUDGES & FULLY QUALIFIED JUDGES OF G.S.B.A.
Sec. 1 Any individual may apply for apprentice judgeship for one of any species of birds.
Sec. 2 Apprentice Judge membership dues shall be decided on a year-to-year basis by the Executive Board of Directors of G.S.B.A., Inc.
Sec. 3 Certificate of full Judgeship for G.S.B.A. will be awarded when the following requirements are achieved and strictly met:
- The membership dues must be paid promptly during the first week of every January. Failure to do so will automatically revoke the membership and Judgeship.
- He or she must breed the species, which they intend to become a Judge of.
- He or she must have won 3 Best In Show under a qualified G.S.B.A. Judge.
- He or she must submit to all the written and oral tests before Executive Board of Judge Examiners.
- When all the requirements are met and proof of knowledge and capability are assured, only then a Certificate of Judgeship will be issued.
- G.S.B.A., Inc. Judges must obey and follow the rules, regulations and standards of G.S.B.A., Inc.
ARTICLE VIII MISCELLANEOUS
Sec. 1 No member of G.S.B.A., Inc., shall make or cause to be made any contract whatsoever that may cause any financial obligation to G.S.B.A., Inc.
Sec. 2 Upon death, resignation, expulsion or suspension of a member, all privileges and interest in this Association shall cease.
Sec. 3 Any of the Articles and Sections of these By-Laws can be suspended or amended. Proposal for suspension or amendment must be presented in writing before the Executive Board of Directors who will review the proposed suspension or amendment. Before action can be taken, a majority vote must be obtained.
Sec. 4 The regular educational meeting of the membership of the Association shall be held once a month determined by the Board of Directors.
Sec. 5 All the funds received by the Association shall be used strictly for educational purposes, to continually improve our club and toward our annual cage bird exhibition.
Sec. 6 In case of dissolution of the Association, all the assets of G.S.B.A. will be donated to the American Cancer Society
These By-Laws were reviewed and approved by the Executive Board of Directors at the regular Board of Directors meeting, which was held Hillside N.J. on July 30, 2004 with a quorum present, revoke, supercede and rescind any rules or By-Laws in effect.
